GCG Soft Structure
We implement corporate GCG which is based on the Government Law & Regulations No. 40 of 2007 concerning limited liability company, General Guidelines for Good Corporate Governance stipulated by the National Committee on Governance (KNKG), Financial Services Authority (OJK) regulations, and Indonesian Stock Exchange r (IDX) regulations.
The policy tool (soft structure) is arranged in order to ensure the quality improvement of the Company's GCG implementation. We keep refining and reviewing the effectiveness of the GCG Soft Structure regularly, which consists of Corporate Governance tools and policies. This is done to ensure that GCG implementation has been executed optimally and in accordance with the business world that always change dynamically.

The Articles of Association are part of the Company's Deed of Establishment which contains the positions and functions of the Shareholders, the Commissioners and the Directors. ABM's Articles of Association have been amended several times. The latest amendment is based on the Notary Deed of Jose Dima Satria, SH, MKn, No. 58 dated 4 June 2021 regarding changes to the Company's Directors and Board of Commissioners. The changes have been notified to the Minister of Law and Human Rights of the Republic of Indonesia in Letter No. AHU-AH.01.03-0412776 dated 01 July 2021.
The GCG Charter of ABM in general consists of the strategic directions of the Board of Directors and the Board of Commissioners as well as the management principles and regulations of the company. It is used as point of reference in formulating series of policies and technical regulations in accordance with ABM’s needs. The current GCG Charter has been approved by the Board of Directors and the Board of Commissioners on the Decree of the Board of Directors No. 002 / ABM-BOC-CIR / I / 2013 dated 31 January 2013.
The Code of Ethics and Conduct in general is written to contain commitments, business ethical standard and work ethics for all employees in accordance with the Vision, Mission and Corporate Culture. This guideline applies to all ABM employees, including the Board of Commissioners and the Directors. The current effective ABM Code of Ethics & Conduct was approved on 21 October 2011. All ABM personnel are required to sign and renew personal commitments annually.
The Board Manual is a principle guideline in implementing company’s relationship within each other in executing their duties, responsibilities, authorities, meeting mechanisms, decision making and basic control as well as supervision by the Board of Directors, the Board of Commissioners and the General Meeting of Shareholders. The current Board Manual in the Company has been updated on 22 August 2017 stated in the Decree of the Board of Commissioners and Directors ABM No.009 / ABM-RES / DIR / VII / 2017 and No.032 / ABM-BOC-CIR / VII / 2017. This update is carried out to synchronize the Board Manual with the Financial Services Authority Regulation No.10 / POJK.04 / 2017 concerning Amendments to the Financial Services Authority Regulation No.32 / POJK.04 / 2014 concerning Plans and Implementation of General Meeting of Shareholders of Public Companies and No. 33 / POJK.04 / 2014 concerning Directors and Commissioners of Issuers or Public Companies.

The Company Policy is a compilation of laws, regulations and goals set by the Board of Director which used as guidance for the management in conducting business activities. The Company’s strategic policies are sign of our commitments in implementing GCG and its activities. This company policy is also based on the Company’s core values and leadership traits. Throughout 2019, there were no changes or updates related to Company Policy.
Company Procedure (standard operating procedure / SOP) is a guide used to ensure operational activities run according to established procedures. The Company continuously reviews, adjusts and standardizes all SOP for ABM and its Subsidiaries. Throughout 2019, there were no changes or updates on existing SOPs, however there were 10 newly formed SOPs.
